Parties to these contracts need to be advised on contract conditions and once the contract conditions are "right", the transaction process needs to be diligently followed to avoid costly mistakes.

Your contract needs to properly address:-

  • GST – many commercial property transactions potentially require the vendor to account for GST, but there may be opportunities to structure the contract to prevent a GST liability arising;
  • due diligence and property enquiries – depending on the buyer's needs or plans for the property, it may be appropriate to do one or more of the following:-
  1. examine suitability of soil conditions for future building foundations;
  2. re-establish the property boundaries;
  3. check all levels of legal restrictions or public utility plans that affect the property
  4. review leases
